Terms of sale
Article 1 – Scope of Application
These General Terms and Conditions of Sale apply to every registration, order or agreement relating to online lesson programmes, training courses or educational services offered by d-teach online school ivzw, both to consumers (B2C) and professional customers (B2B).
By placing an order or registration, the customer accepts these terms and conditions in full.
Any deviating general terms and conditions of the customer shall not apply, unless they have been accepted in advance and in writing by d-teach online school ivzw.
Article 2 – Prices and Payment
All prices are expressed in euros and include VAT and other taxes, unless expressly stated otherwise.
Invoices are payable within 30 days of the invoice date, unless otherwise agreed in writing.
In the event of non-payment by the due date, and after a free payment reminder for consumers, default interest shall be charged at the statutory interest rate, as well as fixed compensation in accordance with the applicable provisions of the Code of Economic Law.
For professional customers (B2B), default interest and fixed compensation shall be due automatically and without prior notice of default.
Article 3 – Access to the Learning Platform
Access to the lesson programme shall be granted:
• after receipt of full payment (B2C), or
• after acceptance of a purchase order where payment by invoice applies (B2B).
Access is personal, individual and non-transferable.
d-teach online school ivzw may temporarily or permanently suspend access in the event of misuse, breach of these terms and conditions, or security risks.
Article 4 – Performance of the Agreement
d-teach online school ivzw undertakes an obligation of means. No guarantee is given with regard to specific learning outcomes, chances of success, certification or professional applications.
d-teach online school ivzw does not guarantee that the platform will function at all times without interruption, delay or technical errors.
Article 5 – Duration of Access
The duration of access to the lesson programme shall be determined at the time of registration or in the quotation. Unless otherwise agreed, access shall automatically expire at the end of this period.
Article 6 – Termination by the Customer
If the customer unilaterally terminates the agreement after it has commenced, d-teach online school ivzw shall be entitled to payment for the services already provided, as well as compensation for the access granted to the digital learning materials.
This compensation shall be calculated on a pro rata basis and shall amount to a maximum of 40% of the value of the unused lesson period.
For consumers, this compensation constitutes reasonable compensation for damages. The consumer retains the right to prove lower actual damages.
Article 7 – Termination by d-teach online school
If d-teach online school ivzw is forced to terminate the programme prematurely due to exceptional, unforeseeable circumstances or force majeure, the unused part of the paid lesson period shall be reimbursed on a pro rata basis.
Article 8 – Right of Withdrawal (Consumers)
Consumers have a right of withdrawal of 14 calendar days after receipt of the invoice.
Article 9 – Complaints
Complaints must be submitted with reasons via school@d-teach.com within a reasonable period after the problem has arisen.
This provision does not affect the statutory rights of consumers.
Article 10 – Force Majeure
d-teach online school ivzw shall not be liable for delays or non-performance of its obligations where this results from force majeure, including but not limited to:
• technical failures beyond its control
• internet or platform disruptions
• cyberattacks
• pandemics
• illness or unavailability of teachers
• government measures
• other unforeseeable and unavoidable circumstances
During force majeure, the obligations shall be suspended.
Article 11 – Liability
Except in cases of intentional misconduct, gross negligence or breach of mandatory legal provisions, the liability of d-teach online school ivzw shall be limited to the amount paid by the customer for the relevant lesson programme.
d-teach online school ivzw shall not be liable for indirect damage, consequential damage, loss of data, loss of income or reputational damage.
Article 12 – Intellectual Property
All learning materials, videos, documents and platform content remain the exclusive intellectual property of d-teach online school ivzw.
The customer obtains only a limited, non-exclusive and non-transferable right of use for personal educational purposes.
It is prohibited to copy, distribute, use commercially or make materials available to third parties without prior written permission.
Article 13 – Personal Data
Personal data are processed in accordance with the applicable privacy legislation. The privacy statement forms an integral part of these terms and conditions.
Article 14 – Applicable Law and Competent Court
This agreement is governed by Belgian law.
For consumers, disputes shall be handled by the competent courts in accordance with the Code of Economic Law.
For professional customers, only the Dutch-language courts of the Brussels-Capital Region shall have jurisdiction.
